Hiring Now: Legal Associate - KPMG Visit Middle East Jobs >> bit.ly/midejobs Please Follow >> bit.ly/mideastjobs Position Overview: Emphasis on working on establishment of legal entities by identifying appropriate corporate structure and implementation from start to completion, including post-completion aspects and company secretarial and all SAGIA compliance aspects. Provide support and assistance on all legal aspects of the firms activities including corporate commercial work. Responsible for advising on all corporate, commercial and risk issues from a legal perspective. Experience of having worked for a local law firm in the Kingdom of Saudi Arabia. Good network and marketing skills. Main Responsibilities: •Advising clients on various forms of legal entity in the Kingdom of Saudi Arabia. •Recommendations on most appropriate form of legal entity for client. •Implementing the recommendations through establishment of a legal entity from incipient stages until completion of the entity set-up. •Dealing with all post-completion formalities required for the legal entity (including Chamber of Commerce, DZIT in conjunction with KPMG Tax & Zakat Department, Municipalities, Labor Office, GOSI). •Dealing with all SAGIA compliance practice aspects for the legal entity including company secretarial services as a product. •Where appropriate, drafting all appropriate resolutions, Powers of Attorney, Articles of Association and preparation of file for lodging with the applicable Ministry or regulatory authority. •Drafting commercial agreements as required by the client. •Support and assistance in review, change and approve all legally binding documents entered into by the firm, including: -Standard client contracts/engagement letters -Non-standard client contracts/engagement letters -Assisting in advising on all client disputes with the firm, whether formally notified as legal claims or not. -Assisting in advising on all legal disputes affecting the firm, including those arising from government, regulatory authorities, statutory bodies, suppliers or other parties. •Assisting in advising on engagement completion agreements signed/to be signed by clients. •Involvement in other risk management and compliance issues which arise. •Assistance in any immigration and employment matters. •Attending trips out of Riyadh when necessary. Internal legal issues: •Support on advising on legal issues referred by the management of the firm, such as commercial agreements, corporate and governance issues, internal legal documentation, contracts with suppliers, landlords and related issues. •Support in advising on and assistance with the process of follow up on overdue receivables, including taking legal action where necessary. •Periodic involvement as required in internal HR issues and labour law matters. Other •Monitor changes in legislation and regulations and the firm’s own legal compliance and provide general legal advice on a variety of matters as necessary. •Support and assistance in establishing companies and other legal entities required for the firm’s operations. •Support and assistance in negotiating joint ventures and strategic alliances with third parties as necessary. •Conduct legal research on local and international legal issues when required, in order to respond to the firm’s operational requirements. •Supervising performance of and communications with outside legal counsel. •Advise, assist and manage communications with third party lawyers as required. •Daily networking and marketing of the Law Firm.
