Three simple steps to answer any Case Study in any subject ( IPCC & Final ) : Step 1 : Interpret the problem given in question. Write down what exactly the case study is related to. Step 2 : Write the Provisions of the section to which case study is related. Final students should mention the Section Number & IPCC Student can mention section if they remember properly otherwise not mandatory. Step 3 : In last step conclude the problem given in case study by referring provisions of relevant section as well as you are advisable to give any Case Law Reference. For Ex. Ques. A company XYZ Ltd. wants to appoint Mr. A as an auditor of company. But Mr. A holds security of Rs. 2000 of XYZ Ltd. So whether Mr. A can be appointed as auditor of XYZ Ltd. Answer. Step 1 : As per Sec. 226 of co. act. 1956 following persons shall not be qualified for appointment as auditor of a company- (a) a body corporate; (b) an officer or employee of the company; (c) a person who is a partner, or who is in the employment, of an officer or employee of the company; (d) a person who is indebted to the company for an amount exceeding one thousand rupees, or who, has given any guarantee or provided any security in connection with the indebtedness of any third person to the company for an amount exceeding one thousand rupees; (e) a person who is a director or member of a private company, or a partner of a firm, which is the managing agent or the secretaries and treasurers of the company; (f) a person who is holding any security of the company. Step 2 : With reference to above provisions of Sec. 226 of co. act, 1956, Mr. A is disqualified for appointment for auditor as he is holding security of company.
