Article VI CORPORATE MEMBERSHIP Section 1. Classification of Members. Membership in the Association shall be classified as follows: 1.1 Regular Members – Graduates of the Bachelor of Science in Public Safety (BSPS) Cadetship Program of the Philippine National Police Academy (PNPA). 1.2 Adopted Members – Citizens of the Philippines or foreign states with which the Philippines has friendly relations and who extend the same privileges, and who are officially adopted by any PNPA class organization and inducted in a formal ceremony to be held for the purpose. 1.3 Honorary Members – Prominent personalities and benefactors of the Academy, former Superintendents/Directors of the Academy who are not regular members of the Association and other deserving persons as the Board of Trustees will consider. Honorary members shall be inducted in a formal ceremony to be held for the purpose. 1.4 Associate Members – Members of the PNPA Faculty Corps who are holding positions equivalent to the rank of Inspector or higher and have been serving the Academy for at least one (1) year. Associate members shall be inducted in a formal ceremony to be held for the purpose. Their membership shall be deemed terminated upon separation from the Academy. 1.5 Institutional Members – Juridical entities and establishments that are advocates of the best interests of public safety and public service, thus contributing to the professionalization of the public safety services. Section 2. Admission Requirements. 2.1 Regular Members – They are automatically admitted as regular members of the Association effective upon their graduation and oath- taking. 2.2 Adopted Members – They shall be endorsed in writing by a class organization. The endorsement shall be submitted together with the nominee’s Letter of Intent to be adopted and curriculum vitae to the Membership Committee for evaluation, subject to approval by the majority of the Board of Trustees. The nominee must have the minimum qualifications, as follows: 2.2.1 An exemplary and distinguished professional standing that can contribute immensely to the attainment of the Association’s objectives. 2.2.2 Acceptance will undoubtedly bring honor and prestige to the Association. 2.2.3 Must not have been convicted by final judgment for offenses involving moral turpitude or offenses punishable by imprisonment for more than one (1) year; 2.2.4 At least 21 years of age, male or female; 2.2.5 If one is a commissioned officer, his/her rank must not be lower than the rank of the majority of the members of the adopting class; 2.2.6 Any person or public officer holding a position lower than Salary Grade 22 must be of the age bracket of regular members or older than the oldest member or at the very least only three (3) years younger than the youngest member of the adopting class. However, if a nominee is a public officer holding a position with Salary Grade 22 and above, the aforementioned age requirement is waived. 2.3. Honorary Members. They must be persons of known probity and prominence in the community or society or who have served as PNPA Superintendents/Directors, who can contribute to the accomplishment of the overall goal and objectives of the Association. The nominees shall submit a curriculum vitae for processing and formal acceptance by the Board of Trustees. 2.4. Associate Members – Members of the PNPA faculty who can qualify for associate membership shall be recommended by the Dean of Academics and endorsed by the PNPA Director to the Board of Trustees. 2.5. Institutional Members - The Board of Trustees shall exercise the prerogative in the admission of institutional members. Section 3. Rights and Privileges – Members shall enjoy the same rights and privileges, except that Adopted, Honorary, Associate and Institutional members are not entitled to the provisions in paragraph 3.1, 3.2 and 3.6 of this Section; 3.1 Exercise the right to vote; 3.2 Eligible to any elective office; 3.3 Avail of the facilities of the Association; 3.4 Receive such welfare benefits and privileges and assistance as authorized under the rules and regulations to be prescribed by the Board of Trustees; 3.5 Participate in activities of the Association, except those specifically restricted by this Corporate By-laws and resolutions of the Board of Trustees; 3.6 Examine the financial records or books of accounts of the Association during business hours; 3.7 Be issued a Certificate of Membership and ID; and 3.8 Enjoy other rights and privileges allowed under the Corporation Code for similar organizations. Section 4. Membership Obligations. – Members shall have the following obligations: 4.1 Promote the ideals and objectives of the Association as embodied in the Preamble and the Declaration of Policy and Purposes of this Corporate By-Laws; 4.2 Obey and comply with this Corporate By-Laws and the rules and regulations that may be promulgated by the Association from time to time; 4.3 Attend PNPAAAI conventions or meetings that may be called by the Board requiring their presence; 4.4 Make their services available in the promotion and implementation of projects and undertakings of the Association; 4.5 Develop the spirit of volunteerism in self and in others; 4.6 Carry on with the Academy’s core values of Justice, Integrity and Service and motto “To Learn Today, To Lead Tomorrow;” 4.7 Pay promptly all financial assessments; and 4.8 For regular members, regularly pay the monthly membership dues. Section 5. Members in Good Standing. The term “member in good standing” shall refer to members who must meet the following criteria: 5.1 Update in payment of membership dues and other assessments, except the retired members. 5.2 Diligent in attendance in required meetings and conferences. 5.3 Diligent in the performance of duties and responsibilities. 5.4 Not under suspension or serving penalty. 5.5 Not under investigation for dereliction of membership duties and responsibilities. Section 6. Termination or Suspension of Membership – Upon formal report or complaint and proper investigation by the Membership Committee or Ethics Committee, as the case may be, any member may be terminated through a unanimous vote of all the members of the Board of Trustees for any act detrimental, prejudicial or inimical to the best interests of the Association. When the imposable penalty is suspension, a two-thirds (2/3) vote of all the members of the Board shall be required. 6.1 After the lapse of fifteen (15) days from the date of receipt of subject member of the notice of termination or suspension of membership, without filing with the Board any motion for reconsideration or Notice of Appeal, the decision of the Board in both cases shall be final and executory. 6.2 Motion for reconsideration should be submitted to he Board in writing within fifteen (15) days from the date of receipt of the notice of termination or suspension of membership. The Board shall act and decide on the motion within thirty (30) days upon receipt of said motion. Majority decision of the Board is required in denying the motion, and in case of suspension of membership the denial of motion shall render the decision final and executory, but in case of termination, same may still be appealed to the General Assembly. In such a case, subject member shall file the Notice of Appeal with the Board fifteen (15) days from the receipt of denial of motion for reconsideration. Failure to file the Notice of Appeal within the period prescribed will render the decision of the Board in a termination case final and executory. 6.3 The Notice of Appeal filed in a termination case with the Board shall be presented to the General Assembly, and the decision of the majority of the members having a quorum, in either adopting or reversing the decision of the Board, shall be final and executory. Section 7. Disaffiliation – A member may formally disaffiliate from the Association by executing an affidavit to that effect which should be filed with the Board. In such a case, the Board shall pass a resolution terminating such membership from the Association. In effect, such member who has been disaffiliated from the Association shall be deemed to have renounced all the benefits and privileges one is entitled as a member in good standing. Section 8. Deprivation of Benefits and Privileges - Members who will be terminated from membership in the Association, for reason of disaffiliation or disciplinary sanction, or other causes, shall be automatically deprived of all benefits and privileges due members in good standing, and may be subject to applicable civil or/and criminal laws if found misusing the name of the Association.
