Job Title: Senior Director, Contracts and Procurement Division: San Diego Reports to: Chief Financial Officer Position Summary This position is responsible for the overall administration and management of Contracts, Subcontracts and Purchasing, Supply Chain/Sourcing and support to Export/Import Control functional areas. This position reports to the Chief Financial Officer. Primary Duties and Responsibilities • Build, motivate, and lead Contracting organization in accordance with company objectives, and direct and oversee effective execution of “cradle-to-grave” contract, subcontract and purchasing responsibilities to meet company and program objectives, and applicable laws and regulations (including pre-contract actions, contract negotiation, formation, administration and close-out). • Lead the regular reviews and updates, and execution of policies, procedures, operating practices, and performance standards. Draft, evaluate and negotiate, and supervise the administration and management of contract, subcontract, supplier and licensing, teaming and non-disclosure agreements, and export and import control activities by assigned personnel. • Lead and direct staff in risk analysis and the provision of recommendations following the review of RFP/contract terms and conditions and related proposal preparation activities, development of negotiation strategy, preparation for and implementation of source selection, and related efforts. • Review and oversee resolution of issues, in conjunction with the legal department as necessary, affecting company compliance and ensure satisfaction of requirements and achievement of objectives. • Provide advice to executive and senior management of contractual rights and obligations, identify risk and liability issues, and provide interpretation of terms and conditions. • Support the Export Control Officer (ECO) and provide secondary support as needed. Elevate all International Traffic and Arms Regulation (ITAR) to the Boeing Export/Import Designated Empowered Official, as necessary. Work closely with staff to ensure compliance with export/import laws and regulations. • Interact with and oversee the exchange of information requested by governmental agencies and other customers in all contract-related matters. • Interact with and oversee the interface with government agencies in contract audit and other matters. • Review and work to resolve and report to senior management on issues involving prime contractor, subcontractor and supplier compliance with contractual and legal and satisfaction of other objectives. • Participate in due diligence reviews associated with merger and acquisition activities of the company, and associated transition and integration activities for acquired contract activities. • Participate in establishing short and long term organizational objectives. • Maintain relationships at various levels with key customer contracting representatives and other significant company contractual relationships. • Oversee company bidding process and assist in the development of RFP’s. Qualifications Must have knowledge of and experience with Federal Acquisition Regulations (FAR), Defense FAR Supplement (DFARS), government Cost Accounting Standards (CAS), International Trade in Arms Regulations (ITAR), Export Administration Regulations (EAR), the Joint Travel Regulations (JTR), Sarbanes Oxley, and other laws and regulations as applicable to the management of contracts and procurement organizations; export/import activities; customer and government agency interface; and corporate policies and procedures for compliant business operations and merger and acquisition issues. Education and/or Experience • Bachelor degree in business administration, or related field, or equivalent experience. • 15 or more years of progressively responsible experience with large, complex contract and procurement administration and management for US Government programs. • Prior senior management experience of leading a Contracts department with either small or large DoD contractor. • Experience with all types of DoD contracts, Federal Acquisition Regulations (FAR), Defense FAR Supplement (DFARS), government Cost Accounting Standards (CAS), International Trade in Arms Regulations (ITAR), Export Administration Regulations (EAR), the Joint Travel Regulations (JTR), International contracting and familiarity with the Deltek accounting system is preferred. Skills and Abilities • Extensive knowledge of and experience in the business factors that impact the management of FFP, cost reimbursable, T&M, and labor hour type contracts from proposal strategy and preparation through negotiation, administration and close out. • Solid experience in the bid and proposal process with an emphisis on hands on experience in responding to Government solicitations. • Demonstrated experience in planning and forecasting direct and indirect activities. • Experience with Commercial contracting of software and related services to include international markets. • Demonstrated expertise and superior knowledge of government and commercial contract principles, including FAR, DFAR, CAS, ITAR, EAR, and JTR. • Experience managing critical processes, including administration of organizational conflicts of interest. • Knowledge and demonstrated ability to manage a Procurement organization within a CPSR-compliant environment. Candidate Requirements This position requires U.S. citizenship. Must possess or be able pass a US government security background investigation to obtain a Secret or Top Secret level security clearance. This position will require some travel and potential extended stay requirements. Physical Demands This position requires the employee to sit for extended periods of time, often working at the computer viewing the screens and typing, and communicating on the phone, at times performance of duties can require standing and some lifting up to approximately 30 pounds.
