Each Board member agrees to abide by the following duties and responsibilities: Duties and Responsibilities of Members To become fully acquainted with Prospect Riding Center, Board members should make themselves knowledgeable with respect to the Center’s a. Mission b. Bylaws and the Board Members’ role and responsibilities c. History d. Programs e. Finances f. Fundraising To accept a share of the responsibility for the realization of Board objectives, a member should: a. Attend all Board meetings. b. Be aware of various committees and their functions. c. Act as a Center representative to the community (PR). d. Accept assignments to further the Center’s work. e. Maintain the confidential nature of the Center and Board business. To stay informed, Board members should: a. Read reports, articles and other materials dealing with Prospect Riding Center, Inc. b. Confer with other Board members and staff as appropriate in carrying out assigned responsibilities. c. Become familiar with the functions and ongoing programs of the Center by inquiry and observation where appropriate. d. Volunteer for committee assignments where appropriate. e. Attend appropriate conferences in order to increase knowledge and awareness of Prospect Riding Center activities. Board members as trustees of the organization shall do their best o protect, oversee and advance the Center’s mission. The Board functions as a policy making body. The President/CEO is responsible for administration of the organization. Individual Board members exercise authority only as they vote to take action at a Board meeting, or duly authorized committee meeting.
