The Institute of Company Secretaries of India (ICSI) in association with National Institute of Securities Markets (NISM) presents a Full-Day Conference on “Ethics and Corporate Governance” on Wednesday, the 11th December, 2013 at The Park, Kolkata, as per details given below: Registration: 9.30 AM to 10.00 AM Sessions: 10.00 AM to 5.30 PM Background: Over the last decade, ethics and corporate governance has attracted a great deal of public interest. Corporate failures, dubious accounting practices, abuses of corporate power, overly lucrative compensation, unequal voting rights, inexperienced directors, conflict of interest etc have been subjects of active debate in the media in the last few years. In the face of such scandals and malpractices, there has been a renewed emphasis on the subject of Ethics and Governance. Corporate Governance is concerned with the ownership, control and accountability of companies. Corporate governance and ethical practices play a dominant role in a companys overall growth and success. A well governed company has strong, transparent policies in both areas – with accountability and rigorous Board oversight – and operates in the best interest of its Shareholders, Employees, Customers, Community and Environment. The need for Corporate Governance is justified for overall corporate performance, enhanced investor trust, better access to global markets, combating corruption, flow of credit of banking and financial institutions, enhancing enterprise valuation, minimisation of corporate crisis and scandals and to ensure accountability at all levels. Conference Theme: The area of Corporate Governance has witnessed a structural evolution, in terms of Board composition and reporting.
