2015 Annual Report Notice Reminder This Notice is for General Partners and/or Limited Partners of Limited Partnerships (Ltd.) and Limited Liability Limited Partnerships (LLLP), as well as Officers and/or Directors of Corporations (Inc. or P.A.) and Members and/or Managers of Limited Liability Companies (L.L.C.). This is a courtesy reminder that your 2015 Annual Report must be filed by you with the Florida Department of State by May 1, 2015. At this time, you should have received or will soon be receiving an e-mail or post card from the Florida Department of State regarding filing your 2015 Annual Report. Please watch for this and read it carefully once you have received same. You should be advised that, except as addressed below, the e-mail or postcard you receive will be the only reminder sent to you from the Department of State. If have not already done so, you may download and/or file your Annual Report online by going to the Florida Department of State website - Sunbiz.org. Once again the 2015 Annual Report must be filed with the Florida Department of State by May 1, 2015, to avoid any penalties and additional fees. Below is a chart of the current filing fees for Annual Reports: TYPE OF ENTITY FILING FEE Professional Associations (P.A.) $150.00 Corporations (Inc. or Corp.) $150.00 Limited Liability Company (L.L.C.) $138.75 Limited Partnerships (Ltd.) $500.00 Limited Liability Limited Partnerships (LLLP) $500.00 If you have previously filed your annual report online and provided an e-mail address to the Florida Department of State, the following is an e-mail which you may already have received or should be receiving from them: OFFICIAL NOTICE FROM THE FLORIDA DEPARTMENT OF STATE The 2015 ANNUAL REPORT is now due for: X Y Z ENTITY - Document Number XXXXXXXXXX To file your Annual Report, simply go to the Division of Corporations website, sunbiz.org and file online. Please note; if you file after May 1st, you will incur a $400 late fee that cannot be waived. All Corporations, Limited Liability Companies and Limited Partnerships must file an Annual Report to maintain active status and avoid administrative dissolution. Instructions are available on the website, and you may pay by credit card, check, or through a sunbiz account. Do not be misled by similar websites. Go to sunbiz.org and you will see a banner at the top of the screen stating Florida Department of State, Division of Corporations. File now; it is easy, quick and secure. Please also be aware that Corporate Records Service, a private business, is, once again, mailing to business entities requesting that Annual Minutes and a fee of $125.00 be sent to them for filing. These notices are not from the Florida Department of State, Division of Corporations, though they are made to look that way. The mail quotes Florida statutes requiring corporations to keep annual meeting minutes, then state that by completing and returning an enclosed form and fee will “satisfy the annual minutes requirement.” While Florida law does require business entities to maintain minutes, they are not required to be filed with any agency. They are to be kept by the business entity itself. Please do not confuse these notices with the messages sent by the Florida Department of State, Division of Corporations, reminding each entity to file its 2015 Annual Report. I have recently received from many of my corporate clients’ copies of notices from Corporate Records Service, which is creating some confusion.
