Production Film and producer of the 35mm Colour Bengali Feature Film “........” (......) being produced under the aforesaid banner in the studio of Bangladesh Film Development Corporation, Tejgaon,Dhaka-1208. Further, I do hereby irrevocably nominate, appoint and constitute: Director (Production) Film Development Corporation Tejgaon, Dhaka –1208 As my true and Bangladesh Lawful ATTORNEY to sell or to deal any way without intervention of the court with all prints part and parcels of the above mentioned film including its negatives etc. whether completed/released/felt incomplete (if any) in the studio of the Corporation and to do all acts and sign all papers and documents in my/firm’s name which may be necessary to sell, auction and transfer the rights of the aforesaid film/prints or to dispose/deal the aforesaid film/prints any way deems fit for realization of the loan against the film/firm/producer to protect the interest of the Corporation and all sale proceeds received under the authority shall be treated as true and valid receipt on my/firm’s name and/or behalf and may be adjusted against my/firm/loan/liabilities with the Corporation. To seal sign and execute any documents and to do any act on my/firm’s name and/or behalf relating to the aforesaid film/prints/negatives etc. and thereby receive all sale proceeds pm that account to adjust the loan and/or any other liabilities of mine with the ATTORNEY CORPORATION. To receive and collect sale proceeds against exhibitions of the said film from the distributors, cinema halls and/or any other authorities and to do all acts as may be necessary in this regard for realization of loans against the film and Company. To contact any cinema hall/distributors/agent for any booking for exhibition and to seal, sign, execute and papers/documents deliver prints for this purpose and thereby receive and collect sale proceeds against the exhibitions of the film from the cinema halls/distribute. Ors and/or any relevant authority and to do all acts as may be necessary in this regard. To do any act or to seal, sign and execute any documents/papers for the exhibition of the aforesaid film in foreign countries through cinema halls/V.C.R. etc. and adjust the sale proceeds against my/ company’s liabilities with the Corporation. To do any act on may behalf relating to completion of the film for release in case of the film is under production and to release the film any way deems fit if not completed and released within the stipulated period. And for realization of the Corporation loan, auction or any way deal with the film with all prints, negatives etc, whether the film is in completed or left un-released (if any) and adjust the loans payable by me to the Corporation. To do all or any act relating to the film and its reprints including selling, renting etc, and execute any papers/documents whatsoever necessary with Bangladesh Television, inter-alias. To do any act, to take any steps or to sign, seal, execute any papers/documents or to proceed/file any suits for seizure of the prints/stop screening/further screening/ booking etc. and issue of Injunctions and all other possible detrainments of the producer to disown and dispossess the right and authority there on and to take over the film by the Corporation including all authorities. In general to do all other acts, deeds, matters and things whatsoever relating to the said film, reprints etc. and to realize the amount from sale of the same and/or exhibitions of the same and to adjust my liabilities with the said ATTORNEY CORPORATION. THIS POWER OF ATTORNEY shall irrevocable till my company’s liabilities are fully liquidated and the said Corporation release me absolutely from all liabilities whatsoever. I DO HEREBY UNDER TAKE AND AGREE TO RATIFY WHATSOVER THE SAID ATTORNEY CORPORATION SHALL LAWFULLY DO OR CAUSE TO BE DONE BY VIRTUE OF THIS POWER OF ATTORNEY FOR REALISATION OF LOAN AND TO INDEMENIFY THE ATTORNEY CORPORATION AGAINST ALL COSTS AND EXPENSE INCURRED BY IT.
