NATIONAL MĀORI MEDIA TRUST Trust Deed Haratua / May 2013 ________________________________________ NAME The trust is established as a representative body for Māori media practitioners, groups and organisations and will be known as ‘National Māori Media Trust’ – thereafter ‘National Māori Media’ and/or ‘NMM’. PRINCIPLES National Māori Media is committed to: • the Treaty of Waitangi as the basis for the constitution of New Zealand and recognising the dual heritage of the treaty partners • the rights of indigenous peoples to establish their own media in their own languages and to have access to all forms of non-indigenous media without discrimination • ensuring that state-owned media duly reflect indigenous cultural diversity • encouraging privately-owned media to adequately reflect indigenous cultural diversity. OBJECTIVES National Māori Media is a charitable trust established to ensure the interests of Māori are recognised and supported throughout the media industry in New Zealand. In particular but without limitation, National Māori Media has been set up to: • unify and support Māori media practitioners, groups and organisations in New Zealand • promote, foster and advance Māori participation in all areas of the media industry in New Zealand • act as a national advisory advocate for its members which promotes te reo Māori and the welfare, training and interests of the Māori media workforce • recognise and promote the contribution that Māori media makes in the promotion and acceptance of indigenous issues and culture in this country • educate the wider New Zealand public on issues affecting Māori media practitioners, groups and organisations • encourage cultural and professional integrity, accountability, transparency and respect of Māori cultural heritage and rights in any media coverage. MEMBERSHIP i. Any Māori media practitioner with an industry-recognised qualification is eligible for membership. ii. Any Māori who has worked in the industry for more than three years is eligible for full membership (see Appendix 1). iii. Application for membership shall be made in writing on the prescribed form and accompanied by the set membership fee iv. Membership fees shall be reviewed at the Annual General Meeting (AGM). v. Membership shall be on an annual basis, and shall cease if his/her subscription remains unpaid after three (3) months of the AGM. vi. Any member may terminate his/her membership by notice in writing to the secretary. The organisation shall retain the balance of such membership fee outstanding. vii. Any member who fails to comply with rules/policy/code of ethics set by the Executive may incur a period of suspension by majority vote of the Board, such suspension being subject to appeal to a general meeting of the organisation. viii. Those who are deemed ‘ineligible’ for membership may apply to be an associate member/student member of National Māori Media. Associate and student members are entitled to attend organisation activities (unless the activity is restricted to members only) and may be present at AGMs, but not to vote. Associate and student members are also ineligible to be members of the Executive (with exception to a student member elected as the Māori media trainee representative), but may be members of any committees the organisation may choose to set up. FEES Individual member $ 75.00 pa Associate member $ 50.00 pa Student member $ 20.00 pa An application can be made to the executive for a Corporate/Group rate; however a guideline is $ 200.00 pa. FINANCIAL YEAR That the financial year of the group shall be July 1 in one year to June 30 of the next year, or as may be determined by the executive ANNUAL GENERAL MEETING The AGM shall be held no later than the last day of July each year. Notice will be sent out to members two months in advance. If an AGM fails to attract the quorum of 20 members, a meeting can be called a month later to consider the business. ELECTION OF EXECUTIVE The Executive will ideally consist of a representative from the following areas: te reo Māori reporters, a minimum of two representing Television New Zealand and Māori Television film and television journalists, a minimum of one representing Ngā Aho Whakaari Māori radio journalists, a minimum of one representing Te Whakaruruhau Māori print journalists, a minimum of one representing Māori or mainstream print publications communications officers, advisors or consultants, a minimum of one Māori journalism trainees independents educators and trainers, particularly from tertiary providers of communications and media courses. i. The Executive shall be elected from the floor at the AGM. ii. The Executive shall meet no less than four times a year, one which shall be immediately after the AGM. iii. A quorum of no less than five (5) members including the chair. iv. Each member shall have one (1) vote. v. The Executive shall have the power to fill any casual vacancy in its elected members. vi. The Executive shall at its first meeting confirm the appointment of a chair, secretary and treasurer. vii. The Executive shall have the authority to approve if necessary reasonable travel and accommodation incurred by the members of the Executive when on the organisation’s business. TENURE OF EXECUTIVE MEMBERS The tenure of elected Executive members shall be one year i.e. from one AGM to the next. Any Executive office holder who is unavailable may appoint a proxy member on their behalf for only one meeting per annum. FUNCTIONS OF THE EXECUTIVE The Executive shall have the power by resolution to do all things which may be considered necessary or expedient in the interests of the organisation, and which are not expressly directed or required to be done, by members at an AGM. The Executive shall be responsible to enact all policy decisions of the organisation. All policy decisions made by the Executive must be ratified at the next AGM. Policies must be consistent with the principles and objectives of National Māori Media. The Executive shall be entrusted with, and may exercise and perform, any or all of the following duties and powers: i. Enter into all negotiations, contracts, agreements in the name of and behalf of National Māori Media as it may consider expedient for its purposes. ii. Make the provision for the signing and endorsing of cheques, and open accounts as the Executive may see fit. iii. Raise money by membership fees and grant rights and privileges to members. iv. At its discretion appoint honourary legal counsel and auditor. v. Co-opt from time to time persons with special expertise to serve the Executive or any committee. vi. Exercise all such administrative power as may be necessary to effect the purpose of National Māori Media. vii. Deal with any matter not provided for in these rules and generally manage the affairs of the organisation in accordance with its objectives. COMMITTEES The Executive may from time to time appoint: i. subcommittees to act on training and administrative matters ii. ad-hoc committees to deal with such matters as the Executive may refer to them. iii. Committees shall not expend any monies or incur any liabilities in excess of any budget approved by the Executive. iv. Each committee shall keep written minutes of all meetings and produce a budget which will be forwarded to the Executive. ACCOUNTS AND AUDIT The Executive shall keep full and correct accounts of all financial transactions, assets, liabilities and funds of National Māori Media and may authorise and direct any person to keep such accounts for National Māori Media. A report on the current assets, liabilities and funds shall be presented at each quarterly meeting. At the end of the financial year, 31 March, the executive shall prepare or have prepared an income and expenditure account showing the financial transactions of National Māori Media for that year, together with a balance sheet to date, for presentation to and approval at the AGM. WINDING UP OF NATIONAL MĀORI MEDIA TRUST National Māori Media may be wound up or dissolved by resolution passed by a simple majority of members present at any general or special meeting of National Māori Media of which 21 days’ notice has been given to all members of such proposed winding up of dissolution. Upon the dissolution or winding up of National Māori Media, the assets of the trust shall be realised and the funds of National Māori Media, subject to the liquidation of all the debts and liabilities, shall be disposed of by being applied to organisations whose objects most closely resemble those of National Māori Media as determined by the members in the general meeting. APPENDIX 1 People working in the media industry including but not limited to: • Print and electronic journalists • Newspaper photographers • Editors and sub-editors • News and research librarians • Radio news and current affairs presenters, reporters and producers and documentary makers • Television news and current affairs presenters, reporters and producers and documentary makers • Camera operators • Communications consultants and public relations practitioners • Government, SOE, Crown agency and ministerial press officers
