December 5, 2014 Dear George, Broward County Commission to Vote on Item that Could Affect you! The City of Coconut Creek would like to notify our residents of a very important item that is going before the Broward County Commission this Tuesday, December 9th. It is important to note the Broward County District Coconut Creek belongs to (District 2) is currently without representation and will have no voice in this vote. County officials are set to make a decision on the closure of the North Broward Wheelabrator Waste Energy facility, located at the landfill. If approved, this action would especially affect the residents of North Broward, especially Coconut Creek, Deerfield Beach, Pompano Beach, Coral Springs, Margate and Parkland. The City of Coconut Creek currently has an agreement in place with Waste Management that all processable waste is to be diverted from the Monarch Hill landfill into a waste to energy plant. We believe that the approval of this proposed amendment will permit Waste Management to dispose of processable waste in the landfill in contradiction to our agreement. We would like to encourage residents to attend this meeting and/or to contact your County Commissioners to object to this agreement until such time as a County Commissioner representing our district is sworn into office in January 2015. With best regards, Mayor, Becky Tooley, City of Coconut Creek Broward County Commission Regular Meeting Meeting Date: 12/09/2014 Directors Name: Barbara Sharief and Stacy Ritter Department: County Commission Requested Action MOTION TO APPROVE Agreement in Concept to amend contracts with Waste Management, Inc., Wheelabrator Technologies, Inc., Wheelabrator Environmental Services, Inc., Wheelabrator North Broward, Inc., and Wheelabrator South Broward, Inc. to provide, among other things, the option for Wheelabrator North Broward, Inc. to cease operation of the North Broward waste-to-energy plant in exchange for certain financial and other benefits to the County in connection with the Countys ownership and operation of solid waste disposal facilities. The proposed contract amendment, once finalized, will be presented to the Board for its consideration. (Commissioner Sharief and Commissioner Ritter) Why Action is Necessary The Boards approval of this item would facilitate the negotiation of a formal contract amendment. What Action Accomplishes The formal contract amendment proposed to result from the attached Agreement in Concept would amend a series of agreements between Broward County and the above-referenced parties, would provide operating flexibility to the Wheelabrator entities, and would provide to the County additional financial resources that would materially benefit the County in its continued ownership and operation of solid waste disposal facilities. Is this Action Goal Related Previous Action Taken Summary Explanation/ Background This item asks only for approval of an Agreement in Concept. Such approval does not bind the County to any specific contractual obligation other than to continue to negotiate in good faith to reach agreement on a formal contract amendment. Once finally negotiated, a proposed formal contract amendment would be presented to the Board for its consideration. Wheelabrator Technologies, Inc. (WTI) is owned by Waste Management, Inc. (Waste Management). WTI, in turn, owns Wheelabrator Environmental Services, Inc. (WES), Wheelabrator North Broward, Inc. (WNB) and Wheelabrator South Broward, Inc. (WSB). Energy Capital Partners (ECP) is purchasing WTI (including its subsidiaries WES and WSB), from Waste Management. Ownership of WNB will be transferred to Waste Management. The closing of this transaction is scheduled for December 17, 2014 (during the Boards winter recess). The County currently has a series of contracts (and related guarantees) with these entities. The contracts include the long-term lease of the property on which the south Ash Monofill is located, and a current agreement for solid waste disposal services that requires the continued operation of waste-to-energy facilities at both a north location and a south location within the County. Upon expiration of the solid waste disposal Interlocal Agreement in July 2013, a number of municipalities within the County contracted with providers other than WTI (or affiliated entities) for solid waste disposal services, resulting in an insufficient supply of solid waste to continue to efficiently operate both the north and south waste-to-energy facilities. As a result, the above-referenced parties seek a contract amendment that, among other things, would relieve WTI (and its affiliates) of the obligation to continue to operate the north waste-to-energy facility. WTI would continue to operate the south waste-to-energy facility (adjacent to the Ash Monofill), which has sufficient capacity to process all processable solid waste currently provided by the County and all of the participating County municipalities. Any additional required solid waste disposal capacity would be provided at the alternative disposal facilities designated by the current agreements, thereby enabling the County to continue to meet its statutory obligation to provide solid waste disposal capacity. Aside from being relieved of the contractual obligation to operate the north waste-to-energy facility, Waste Management has requested that it be released from its current guarantees, and that WTI be substituted in as the new guarantor. The guarantee substitution request is under continuing review by the Countys Finance and Administrative Services Department, which will not recommend approval of the substitution unless it concludes that the substitution of guarantor would not materially and negatively impact the County. The formal contract amendment expected to result from the attached Agreement in Concept would benefit the County in a number of ways that are specified in the Agreement in Concept. The County would also benefit by establishing new financial arrangements related to closure and post-closure costs of the south Ash Monofill. The financial arrangements issue is complex, and the parties have been negotiating this issue (and all other issues) since September. Substantial progress has been made, but the parties have not yet been able to reach a final proposed agreement. Approval of this Agreement in Concept would help narrow open issues in connection with Waste Managements sale to ECP, which would facilitate the remaining negotiations between the County and the above-referenced parties. The approval would also assist the above-referenced parties in obtaining certain municipal consents specified in the Agreement in Concept. Fiscal Impact Fiscal Impact/Cost Summary: The expected formal contract amendment, which would be presented to the Board after negotiations and drafting have been completed, would have a positive financial impact on the Countys solid waste disposal operations.
