CONSTITUTION & BY-LAWS of the BUENAVISTA CENTRAL ELEMENTARY SCHOOL ALUMNI ASSOCIATION ARTICLE I NAME OF THE ASSOCIATION This Association shall be called and known as the Buenavista Central Elementary School (BCES) Alumni Association and shall be denominated as such for all purposes, with offices at the Buenavista Central Elementary School, Poblacion, Buenavista, Bohol. ARTICLE II OBJECTIVES Section 1. Objectives. The Association has been organized to pursue the following objectives: 1. To unite in one fraternal group all alumni of Buenavista Central Elementary School. 2. To foster goodwill, understanding and mutual help among all alumni of Buenavista Central Elementary School. 3. To extend support and cooperation to Buenavista Central Elementary School in advancing its mandate of extending quality elementary education; 4. To promote friendly and harmonious relation between the Alumni and School Administration, Faculty and Staff; 5. To engaged in civic and charitable activities in the spirit of humanitarianism and camaraderie, good relation and cooperation with the rest of the community. ARTICLE III MEMBERSHIP Section 1. Membership. Membership of this Association shall be open to all persons who are graduates as well as former pupils of Buenavista Central Elementary School, Poblacion, Buenavista, Bohol. Section 2. Duties of Members. Every member shall promote the objectives of the Association, the success of its affairs, the welfare of its members and the Association as a whole and shall: 1. Contribute resources to enable the establishment of a mutual aid system for the benefits of all the members of the Association particularly those who have less in life; 2. Attend the general assembly, reunion, etc. called for by the Board of Trustees; 3. Participate in its parliamentary affairs; and 4. Obey the rules and regulations as provided in these by- laws, the decisions of the general assembly and the policies and decisions that may be adopted by the Officers and the Board of Trustees; Section 3. Rights of Members. Every member has the following rights: 1. Participate in the deliberation during meetings; 2. Vote on all matters brought before such meetings; 3. Seek any elective positions subject to the provisions of these by- laws; 4. Avail himself of the services of this Association without any discrimination whatsoever upon compliance with the conditions and requirements thereof; and 5. Inspect and examine the minutes, the financial records and other documents pertinent to the Association and to exercise other rights and privileges of membership. Section 4. General Assembly and Reunion. The general assembly and the grand reunion of the Association shall be held on the second (2nd) Saturday of May of every other year at Buenavista Central Elementary School, Poblacion, Buenavista, Bohol or at any place and at such day and time as the Board of Trustees may designate. Section 5. Notice of General Assembly. Written notices of general assembly and grand reunion shall be posted in school and in other public places. It shall also be published in the newspapers and in social media and announce in television and local radio stations. ARTICLE IV DUES AND FEES Section 1. Each batch of the alumni shall pay a yearly due in such amount as determined by the Board of Trustees. Section 2 – Any member of the batch that is delinquent in the payment of the yearly dues shall be deprived of the rights and privileges which this Association grants or may hereafter grant to its members. Section 3 – This Association may collect from time to time assessment or contributions from the members to meet certain legitimate or urgent expenses that may be incurred for special or extraordinary events or affairs, the holding of which is to be approved by the majority of the Board of Trustees. Section 4 – All fees and dues that are or may hereafter be collected from the batch or from any member and all other funds that the Association may derive from other sources form part of or constitute as its assets and be deposited with the bank under the responsibility of the Treasurer of this Association. Section 5 – Any disbursements made out of funds mentioned in the preceding section shall be duly accompanied by the corresponding voucher or receipt passed in audit by the Auditor, before payment, unless said disbursements has already been approved by a resolution of the Board. ARTICLE V OFFICERS AND TENURE OF OFFICE Section 1. Board of Trustees and Number. The affairs of Association shall be administered by the Board of Trustees composed of the representatives of the different batches of the alumni. Section 2. Qualifications of and Disqualification for Trustees. All members entitled to vote, who have the time and the willingness to serve, of legal age are qualified to be voted as trustees except those who are under any of the following circumstances which disqualify them to be voted upon to the position of trustees or to continue as such: 1. Having been convicted of any crime involving moral turpitude, gross negligence, or gross misconduct in the performance of their duties or found culpable in any administrative case involving such offenses; 2. Facing, as respondent or defendants, on administrative proceeding or civil/criminal suits involving financial and/or property accountability; and 3. Having brought shame or disgrace into the association for any dishonorable acts. Section 3. Election of Trustees. There shall be one (1) trustee for every batch. The trustee shall be elected by the members of each batch The election shall be held during the general assembly cum reunion and shall hold office for a term of two (2) years unless earlier removed for cause, or have resigned or become incapacitated due to illness or death, and until their successors have been elected, qualified and have discharged the duties of the office. Section 4. Election of Officers. Right after the election of the trustees of each batch, they shall convene for the election, from among themselves, the Officers of the entire alumni. The Officers to be elected are as follows: President, Vice-President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, Auditor, Three (3) Public Information Officers (PIO), One Representative for every decade or ten (10) year batches (i.e., 1960s, 1970s, 1980s, 1990s, 2000 & 2010s) of the alumni. Section 5. School Principal as Ex-Officio Member. The School Principal of the Buenavista Central Elementary School shall serve as Ex-Officio member of the Board of Trustees. The School Principal shall carry the title of Adviser of the Association. Section 6. Immediate Past President as Ex-Officio Member. In addition to the regularly elected members of the Board and the Adviser of the Association, the immediate past President if not elected, shall automatically become ex-officio members of the Board of Directors. Section 7. – The foregoing elected officials shall hold office for two (2) years until their successor are elected and/or appointed and qualified. Their respective terms shall begin immediately upon proclamation of their election and shall be considered duly qualified to assume their respective positions immediately after their induction into office, which shall take place after the proclamation. ARTICLE VI DEFINITION OF POWER AND DUTIES Section 1. – The President shall be the Executive Officer and the Head of the Association; he shall be the presiding officer during the meeting of the Board of Trustees, and he shall exercise such powers inherent in the office of any executive and as herein mentioned. Section 2 – The Vice President shall serve as such and hold any other position which the President may assign to him. Section 3 – The Secretary shall be the legal custodian of all papers and documents belonging to the Association. He shall take the minutes of all meetings of the Association. Section 4 – The Treasurer shall act as the custodian of all funds belonging to the Association. Section 5 – The Auditor shall be charged with the duty of auditing all the funds and the property of the Association as well as all disbursements thereof. He shall likewise perform such other duties and functions as may be assigned by the President from time to time. Section 6 – The PROs shall be in-charged of promoting the public image of the Association and likewise perform other duties as assigned by the President. ARTICLE VII THE BOARD OF TRUSTEES Section 1 – The Board of Trustees shall be the governing body of this Association and shall therein serve as the representative of the true interests of the Association. Section 2 – The Board of Trustees and Officers of the Association shall have eight (8) regular meetings during their two (2) years of office. The meetings shall be held in the second (2nd) Saturday of the following months, namely, March, June, September and December. The Board may however decide to schedule the regular meeting on other date to avoid conflict of schedules of officers and trustees. Special meetings of the Board may be called by the President or in his/her absence, by the Vice-President or by a majority of the Trustees. The call for a special meeting shall be addressed and delivered to the Secretary stating the date, time and place of such meeting and the matters to be acted upon. Notice of such meeting shall be served by the Secretary in writing to each Trustee at least seven (7) days before its scheduled date. Section 3 – The presence of ten (10) members of the regularly elected members of the Board of Trustees and Officers shall constitute a quorum to do business but when a quorum is lacking majority of those in actual attendance may adjourn from time to time until a quorum is present. Section 4. Vacancies. When the vacancy in the officers occur by reason of death, incapacity, removal or resignation, the remaining members of the board constituting a quorum shall fill the vacancy. The successor named shall serve for the remaining segment of the term. Section 5. Standing Committees. The Board of Trustees, through a resolution, shall create Standing Committees to be presented to the general assembly for approval and the subsequent election of the members thereof. ARTICLE VIII AMENDMENTS Section 1. Amendments. Amendments to these by–laws may be adopted by two-thirds (2/3) votes of the members in good standing present at any regular or special general assembly called for the purpose.
