*** IMPORTANT VOTE @ TONIGHT’S GCCA ANNUAL MEETING *** Good morning, If you are not able to attend tonights meeting, Eyleen Shouman has graciously offered to deliver proxys on your behalf, but she MUST have them asap; absolutely no later than 5pm! Please, please, please fill out a proxy and bring it to tonights meeting or get it to Eyleen so that she may turn it in on your behalf ASAP. Eyleen Shouman and Heinz Lychlama are extremely knowledgeable in this area and both are urging a no vote, as am I (Jessica Edwards). I am including Heinz’s rational below this note along w/ Eyleens. THANK YOU!!!! ******************************************************** RECOMMENDATION FROM BYLAWS COMMITTEE MEMBER HEINZ LYCKLAMA: “As a member of the Bylaws Committee last year, we worked hard to close the hole in the Bylaws that would allow the Board to make decisions without input from HOA members. We proposed using the same process used by the Arlington City Council, i.e. publish all meeting agendas at least 3 business days before each meeting, and vote only on issues on that agenda in an open meeting at which HOA members could express their opinions before the Board took a vote on the issue. The change to the Bylaws was approved by the HOA Members last year. Lets keep the safeguards in place. They were put there for a reason. Please vote NO for the proposed change in the Bylaws. Make sure someone gets your proxy if you cannot come to the meeting at 6 PM Tuesday. Thanks. – Heinz” ******************************************************** RECOMMENDATION FROM FORMER BYLAWS COMMITTEE MEMBER EYLEEN SHOUMAN: “As you might recall, our Association just revised our Bylaws at last years annual meeting -- after a group of 6 Association members (Brinda Faux, Meribeth Bode, Heinz Lycklama, Jason Davis, Walt Riebe, and I) spent a year doing a detailed review of the bylaws and recommending changes to the Membership. Jason and Walt were on the Board then and now, so the Boards views were included in our discussions. Of major importance in our discussions was ensuring that homeowners are aware of the Boards proposed actions/decisions before they are made and allowing homeowners to have some input on issues on which they want input. These discussions came on the heels of Chuck McKinneys presidency of the Board, when meetings were held without the knowledge of homeowners, decisions made over the objection of homeowners, and some board members reportedly not even being aware of meetings or decisions until after they were made. The bylaws, as they were revised last year, now contain some safeguards against future problems like those. However, the Boards proposed revisions to be voted on at the Annual Meeting tomorrow will drastically erode those safeguards. If the Board is permitted to take actions in the absence of a meeting, as the Board is proposing, they will be able to take action, even on controversial issues, without notifying homeowners. Agendas are required to be published 3 days in advance of meetings; one of the reasons for this is so that homeowners interested in any agenda item can attend the meeting and make his views known; without a meeting, no agenda is required, and homeowners can be kept in the dark. If actions can be made in the absence of a Board meeting, then not even Special Meetings (about issues so important that they cannot wait until the next regular Board meeting) will be necessary because the Board will be able to make those decisions without holding a public meeting. And if board members can attend meetings via phone, then a meeting can be held via conference call. City Councils, including Arlington, publish agendas before meetings, take action only on items on the agenda, are required to attend the meetings in person, and do not take actions outside the public eye; this Association will be better served if its Board is operated in the same manner. Jack and I strongly urge you to attend the Annual Meeting tomorrow evening and vote NO on the Boards proposed revisions, which are unreasonable, and completely inconsistent with the recommendations which were adopted by the GCCA membership a year ago. If you cannot attend the meeting, I would greatly appreciate your giving your proxy to one of your neighbors who will be attending, or to me to vote NO in your stead.
