Introductory Statement Myogauge Corp. (MyoCorp) has entered into an Exclusive License Agreement with Myogauge Muscle Technologies, LLC. (MMT) The exclusive license agreement encompasses the technology and design of the copyright-protected Myogauge Muscle Testing System (Myogauge System or the System), all subsequent improvements, all new products developed, along with the manufacturing, marketing and sales and national and international distribution rights. The agreement calls for the payment of an equitable royalty fee based upon the annual triple-net profit of the MMT Myogauge System. Executive Summary – Myogauge Muscle Technologies, LLC (“MMT”) is a Delaware Limited Liability Company incorporated on September 5th, 2014. MMT has acquired a Perpetual Exclusive License from Myogauge Corporation. The license encompasses the technology and design of the Myogauge Muscle Testing System (“Myogauge System” or the “System”), any and all subsequent improvements, any and all new products developed, along with the manufacturing, marketing and sales and national and international distribution rights. MMT intends to manufacture, market and promote the sale of its Myogauge Isometric Product System in the United States and worldwide to developed countries around the globe. The System incorporates functionality and repeatability in this unique muscle-testing device and in its software. Isometric muscle testing uses static testing that does not exacerbate an existing injury during testing. When an individual receives an injury while engaging in a contact sport on an amateur (high school and college) or professional level, it is the responsibility of the attending medical practitioner or other qualified individual to gauge the extent of a player’s injury or in the case of someone recovering from an injury, at what point has the individual been rehabilitated sufficiently to return to the activity that caused the injury. The current procedure for doing this is very subjective and varied. This analysis is called Functional Capacity Evaluation (FCE) and is routinely performed by, among others, medical doctors, physical therapists, occupational therapists, osteopaths and doctors of physical medicine without the use of a reliable and repeatable computer-controlled muscle measurement system such as the patented Myogauge System. These tests are used specifically to determine job specific capability as well as return-to-work status. They routinely utilize Range of Motion (ROM) testing and need a fixed facility (an entire fully-outfitted room) in which to perform these tests. Tests can take a couple hours or more (in some cases over a multi-day time frame) and cost in the range of $3,000 to $5,000. They typically DO NOT test for cervical strength - back, legs and arms are the sites routinely tested. Since muscle movement does occur with ROM testing, any previous injury/injuries may be exacerbated - unlike the Myogauge Systems isometric testing in which NO muscle movement occurs. The Myogauge Muscle System provides the medical practitioner with the ability to perform FCE with the accuracy of a state-of-the-art evaluation tool and to monitor, should there have been a concussion injury, the patient’s progress throughout his or/her rehabilitation. The System allows for periodic measurements of the injury and will indicate progress - or lack of progress - so the doctor or therapist can quickly assess whether or not to continue the prescribed therapy or to make changes as needed. The System is the result of years of development and testing. It is 100% reproducible and self-calibrating and is one of the absolutely best clinical tools medical practitioners can use today. The System is designed to augment, the decision making process, not actually provide a diagnoses of a concussion. However, damage to the cervical muscles will serve to indicate that the chances are that further examination by a doctor is the proper next step. This is the task, obviously, of the professional performing the tests and is used in a way that makes it easier to collect and summarize test results and to create reports that can be sent to - among others - sports managers, coaches, school authorities, and insurance companies. The software is easy to use and includes over 20 different muscle group tests. A bilateral evaluation is made to assess the damage to the muscle group involved. As is evidenced by the amount of media coverage, a major problem that sports teams face at this time in history is concussions and the potential litigations that come from allowing a player to return to the field of play with a misdiagnosed concussion – or - allowing an athlete to return to the sport prior to healing completely: possible causing irreparable brain and/or body damage and in some cased even death. The Myogauge System addresses this issue “head-on.” Studies have determined that concussions are accompanied by cognitive problems as well as soft tissue damage in the neck (cervical muscle group). While there are cognitive tests available, the Myogauge System is perfect for determining neck muscle injuries and thus if the test proves positive, indicating damage to the cervical tissue, it unequivocally supports the potential of a concussion. Studies have determined that concussions are accompanied by cognitive problems as well as soft tissue damage in the neck. While there are a variety of cognitive tests in use today. This System is the best solution for determining neck injuries that support the diagnosis of concussion. Market Sector Analysis - MMT will seek initial market penetration in the sports sector, the latter market sectors referred to below on a business development staged basis. Cognitive testing is used with limited success in detecting concussions; e.g., a stubborn player will many times deny the severity of the blow received and seek to remain in the game at all costs. A simple yet effective solution is available through the implementation of the Myogauge System and is accomplished by first establishing a baseline test of the cervical area. If a concussion is suspected a follow-up System test is performed and compared to the baseline figure(s). The responsible person then makes the final decision, based on documented evidence, as to whether or not the player should return to the game. What becomes apparent to the responsible individual, in concert with the results of the cognitive testing, is the difference in neck strength, limited motion of the neck area, level and intensity of pain. A player may want to return to the game. However, if these documented muscle symptoms persist the athlete should NOT be allowed to do so. Multi-Disciplinary Clinics - This type of medical office is comprised of MDs or DOs partnering with Physical Medicine and Rehabilitation specialists, Chiropractors, Physical Therapists, Acupuncturists, Massage Therapists, etc. These offices will find the Myogauge System to be a substantial source of additional income. The CPT billing code (# 97750) pays in the range of thirty five dollars ($35.00) + per each quarter hour session billed. There are thousands of these clinics just in the US alone. Insurance companies already reimburse MDs and DOs for providing these types of services. The Company’s sales staff and Rep. Group will be contacting clinics who in turn will be instructed how to approach school authorities and introduce them to our critically important Student Athletic Safety Program. It is anticipated that there will be support for the program since those responsible for the overall well-being of student athletic team members can now further demonstrate their concern relating to injuries - and from a financial standpoint, the cost does not affect yearly budgets. Parents will be contacted and offered the opportunity to enroll their children in the Student Athlete Safety Program at a cost in the range of $60 to $75 dollars. Future Market Sectors - Management intends, upon establishing itself in the Health and Wellness marketplace, to pursue penetration of the Job Screening, Workers Compensation, Slip-and-Fall, Personal Injury and Military market sectors. Market Sector Populations - With the current population of 70,000 + Chiropractors, 110,000 + Physical Therapists, 40,000 + DOs, 5,500 + Multi-Disciplinary offices (mentioned earlier), as well as a combination of tens of thousands of Orthopedists, Neurologists and Occupational Medicine doctors, high schools and colleges which have football teams (not to mention the many other contact sports) there is a huge market, in the US alone, for the Myogauge System. These combined market sectors increase exponentially the potential for sales and profitability. Competition - The main competition in the use of Isometric Muscle Testing is directed toward Functional Capacity Evaluation (FCE) testing. This is used, basically, for pre- and post-employment job screening and assessment as well as for Workers Compensation return-to-work decisions. This testing method is further described in the Executive Summary (on page 1 above). This IS NOT an area which MMT will be pursuing. As stated we will be primarily focusing in the Professional, College, Olympic and Amateur sports arenas. MMT has yet to uncover a competitor using isometric testing in the detection and treatment of concussions. Another muscle testing system uses a machine called an Isokinetic Dynamometer. This type of testing uses actual muscle movement - the velocity of which is held constant - using a dynamometer and measures the range of motion and muscle strength under dynamic (moving) conditions. This method of testing is problematic in that both the acceleration and deceleration of the muscle during the test is not valid and must be discarded during the test. Gravitational and inertial errors are also present when testing with an Isokinetic Dynamometer and must be taken into account when interpreting the test data. These problems make using an Isokinetic Dynamometer difficult, as highly qualified technicians must perform the tests. It is quite expensive and lacks portability as well. Current manufacturers include KinCom, Cybex and Computer Sports Medicine Intl (CSMI). We firmly believe that due to our expertise in the field of muscle testing, our cutting edge engineering and our perfect timing with respect to this hot button issue of concussions we have an overall competitive advantage. In essence, MMT has no competition based on the efficacy of the Myogauge System, its acquisition cost, ease of operation, ROI/IRR and most important the avoidance of possible life-altering tragedies.
