THE CONSTITUTION OF UBULU-UKU DEVELOPMENT COUNCIL The purpose of this constitution is primarily for development, working hand-in-hand with the Obi-in-council, as well as directing the affairs of Ubulu Uku Development council. ARTICLE 1: NAME AND TITLE: The Association shall be known and called: UBULU-UKU DEVELOPMENT COUNCIL. ARTICLE 2: REGISTERED OFFICE: (a) The headquarters of Ubulu-Uku development council shall be at Ubulu-Uku. (b) The Association shall be made up of Ubulu-Uku development Union Branches and representation from each quarter in Ubulu-Uku. (c) The Branches outside Ubulu-Uku shall be known and called: UBULU-UKU DEVELOPMENT UNION (UDU) (d) The Ubulu-Uku development council shall have the responsibility of co-ordinating all Ubulu-Uku development Union branches and every quarter in Ubulu-Uku. ARTICLE 3: AIMS/OBJECTIVES: (a) To promote the spirit of unity, self-help and co-operation among Ubulu-Uku sons and daughters. (b) To work for the development, welfare and corporate existence of Ubulu-Uku town. (c) To seek and attract government assistance in the development of Ubulu-Uku. ARTICLE 4: MEMBERSHIP OF UBULU-UKU DEVELOPMENT COUNCIL: (a) Accredited representatives of Branch Unions. (b) Accredited representatives from the eleven chapters of the town. (c) Each branch and chapter shall be represented by not more than three accredited representatives. ARTICLE 5: CONSTITUTION AND GOVERNMENT: (a) This document as it may be amended from time to time and approved by the Ubulu-Uku development Council shall be known and referred to as the constitution of the Association. (b) Subject: to the over-riding interest and authority of this constitution, a branch union shall have power to make bye-laws for the smooth running and conduct of its internal affairs, provided such bye-laws are not in conflict with any provision of this constitution. THE GOVERNING ORGANS OF THE COUNCIL: The Government of the Association shall be vested in the following organs of the council. (a) Annual delegates conference. (b) Executive Council of U.D.C – National Executive Council (NEC) (c) National Board of Trustees. THE ANNUAL DELEGATES CONFERENCE: The supreme authority of the council shall be vested in the national delegates conference- (a) Each branch shall send delegates not exceeding three in number to the Annual Conference to represent it officially. (b) An individual member of a branch union who may not be a delegate of his branch union may attend a conference, take part in the proceedings but, cannot be entitled to vote. (c) Decisions of all conferences shall be communicated to al the branches and will be binding on all branches and chapters. The central executive committee shall have the power to postpone the holding of Annual Delegates Conference for a period not exceeding three months beyond the conference year, provided that such a postponement shall be approved by at least 2/3 majority of the members of the Central Executive committee. SPECIAL DELEGATES CONFERENCE / OTHER CONFERENCE (a) Items for inclusion on the agenda of the delegates conference from whatever source or branch shall be forwarded to the Administrative Secretary not later than two months before the conference. (b) The Secretariat shall have the power to detain the items to be included on the agenda and the order of priority subject to the approval of the National Executive Council. (c) The National President shall preside over the conference and in his/her absence, the 1st Vice-National President. (d) The conference shall receive reports from National Executive Council (NEC) review the past activities of the UDC, plan for the future, consider all matters on the conference agenda and other policy issues affecting the town. (e) Election of National Officers shall take place during the Annual Delegates Conference in session. NATIONAL EXECUTIVE COUNCIL (NEC): (a) The Association shall be administered by the National Executive Council: (b) The National Executive Council shall meet thrice every year on dates and venue to be decided at the previous meeting of the National Executive Council or by the Secretariat. (c) The National Executive Council shall consist of the following: (i) All elected national officers (ii) Chairman of various committees (iii) Appointed ex-officio members chosen from the various chapters and branches DUTIES: (a) Guide and further the interest of members of the Association (b) Implement policies approved by the Annual Delegates Conference. (c) Ensure proper accountability of the Association’s funds. (d) Ensure strict observance of the rules by the members and various organs of the Association. (e) Discipline any erring member(s) of staff or organ of the Association. (f) Recommend the execution of capital project (g) Act on all matters referred to it by the branches and chapters (h) Recommend for approval the budget and supplementary estimates of the Association. (i) Fill vacancies arising from resignation, termination, ill-health and death of elected or appointed officers. (j) The decision taken on any matter discussed at the NEC shall be determined by consensus or by majority vote of members, cast in either secret ballot or by show of hands. (k) The National Executive Council shall be responsible for the appointment of the Administrative Secretary of the Association subject to ratification by Annual Delegates Conference. (l) The National Executive Council shall have power to carry out inquiry and investigation into activities and functions of the Association at all levels and shall take such actions as it deems fit and necessary for proper and effective administration of the affected organs of the Association. (m) The National Executive Council shall have power to appoint standing committees, permanent commissions or any other ad-hoc committee as may be deemed fit for proper functioning of the Association. (n) The National Executive Council shall receive, consider and resolve report on the Association’s finance and related issues from various committees and commissions of the Association. (o) Any other matter referred to it by the U.D.C NATIONAL SECRETARIAT: There shall be a National Secretariat headed by an Administrative Secretary who shall be responsible to the Association. The Administrative Secretary shall be in-charge of the day-to-day running of the Secretariat. ELECTED NATIONAL OFFICERS OF THE ASSOCIATION AND THEIR DUTIES: The Association shall have the following National Officers. (a) The National President (b) First Vice National President (c) Second Vice National President (d) The National Financial Secretary (e) National Treasurer (f) Internal Auditors (g) National Public Relations Officer (PRO) (h) Three Provosts (i) Legal Adviser FUNCTIONS OF ELECTED NATIONAL OFFICERS (1) THE NATIONAL PRESIDENT The national president shall be the head of the Association He shall be the Chairman of the National Executive Committee and Annual Delegates Conference and shall preside over all meetings of the Association. The national president shall be one of the signatories to the Associaton’s bank accounts and a member of the National Board of Trustees. DUTIES OF THE NATIONAL BOARD OF TRUSTEES (a) The National Board of Trustees shall oversees all real and personal estate and any other assets of the Association. (b) The Board shall submit all books of accounts of the Association to the Auditor for auditing. (c) The board shall meet quarterly and shall submit monthly income and expenditure reports to the meetings of the National Executive council (NEC). (d) The board shall open an account in the name of the Association. (e) All properties of the Association acquired for the Association shall be vested on the National Board of trustees. (f) The national board of trustees Executive Council shall meet to appoint a successor to fill the vacant position for the remaining tenure of office. (g) No elected officers shall serve more than two terms of three years consecutively. (h) A trustee shall hold office at the pleasure of the Association but a trustee shall cease to hold office if he/she resigns or is convicted of criminal offence or ceases to reside in Nigeria. ARTICLE VI TENURE OF OFFICE AND CONDUCT OF ELECTION The tenure of office of any national elected officer shall be three years. (a) An officer whose tenure has expired is fit to seek re-election (b) Paid officials shall hold office at the pleasure of the Association. (c) Election into office at all levels of the Association shall be by secret ballot. There shall no be more than three nominated members for each elective office. (d) The candidate and sponsor must each possess a member ship card of the branch or chapter (e) No officer shall hold two elective offices in the Association tenure of office. In the event of a vacant office at the National Executive Council, the Administrative Secretary in consultation with national president shall summon a meeting of the NEC to fill the vacant office pending the ratification by the National Delegates Conference. (2) FIRST NATIONAL VICE-PRESIDENT a. The first national vice-president shall assist the national president and shall preside at meeting and assume functions of the national president during his/her absence. b. He shall also perform any functions as may be assigned to him/her by the National Executive Council from time to time. (3) SECOND NATIONAL VICE-PRESIDENT The Association shall have a second national vice president who shall assist in the effective performance of his duties. He shall preside at meetings and also perform the duties of the National president in the absence of the National president and First national vice-president. The second national vice president shall perform other duties assigned to him/her by the national president of the National Executive council. (4) NATIONAL TREASURER The national treasurer shall undertake the following functions : Receive all dues and revenue accruing to the association from branch unions/chapters, and shall ensure regular deposit of such monies to the bank(s) approved by the association within forty eight hours of collection. Keep account/records of all payments made by the Association and give financial reports at meetings of the national executive council and the delegates conference. Render annual accounts and be a member of the national board of trustees. Be one of the signatories to the association’s bank accounts. Keep an interest account the amount of which will be determined from time to time by the national executive council. (5) NATIONAL FINANCIAL SECRETARY a. Be responsible for the financial matters of the association b. Collect record and issue necessary receipts for all monies collected on behalf of the association c. Hand over all monies collected to the treasurer for banking within twenty four hours after collection. d. Be one of the signatories to the association’s bank accounts. (6) NATIONAL INTERNAL AUDITORS Audit the association’s account annually and submit their reports to the national executive committee. PROVOSTS a. They shall see to the orderly arrangement of meeting venue and any other gathering that the association is involved. b. They shall maintain peace and orderliness during meetings c. They are to act as circular bearers and perform any other duties as may be assigned by the national presided. The Chief provost shall be assisted by other two provosts. NATIONAL PUBLIC RELATIONS OFFICER (a) He shall disseminate information to the association members and relate with the public on behalf of the council. He shall represent, and act as the spokesman of the association in any organization when the need arises. (b) He shall be responsible for the publicity of the association, mostly as it affects press releases, as will always be directed by the national president. LEGAL ADVISER (a) He shall be in charge of legal matters as it affects the association. (b) Represents the association in courts when the need arises. (c) Helps in the drafting, preservation and amendment of the association’s constitution. NATIONAL BOARD OF TRUSTEES – COMPOSITION The national board of trustee shall consist of the national president, treasurer, legal adviser, financial secretary and any other three people to be appointed by the National Executive Council. QUORUM For all meetings of national delegates conference to be properly constituted for business of the day, 1/3 of total chapters/branches forms a quorum. ARTICLE VII AMENDMENTS: The constitution shall be amended at any annual delegates conference of the association. (a) The proposed amendments of the constitution shall be submitted in writing by any member through a branch union/chapter by a union or chapter to the national executive council at any of its regular meetings. Such amendments must be received at the secretariat not later than three months before the national delegates conference (b) On receipt of the proposed amendments, the national secretariat shall send copies to all branch unions and chapters for their comments. The amendments together with comments shall be forwarded to the national secretary for review by an ad-hoc committee. The revised constitution will in turn be circulated to branches for further comments. The final review will be presented to the national executive council in session before the national delegates conference. (c) The amended constitution can only be adopted by the national delegates conference in session (d) No new rules shall be made or any of the provisions of this constitution altered, amended or rescinded in any form unless agreed upon by simple majority votes cast by secret ballot at the annual delegates conference in session ARTICLE VIII DUTIES OF THE FULL TIME OFFICERS (a) ADMINISTRATIVE SECRETARY · Be the chief executive of the secretariat and shall coordinate and supervise all the departments and activities of the association. · Be responsible for the proper handling of all correspondence, keeping of al books, documents and other papers of the association. · Organize the nation secretariat and ensure an effective administrative machinery of the association. · In consultation with the national president, convene meetings of the national executive committee. · On the directive of the national executive council convene meetings of the national delegates conference · Keep accurate minutes and records of meetings of the delegates conference and the national executive council. · Attend the delegates conference meetings of the national executive council, board of trustees and other meetings as may be directed by national executive council, but without voting right. · Be responsible for preparation and conduct of election into various organs of the association at all levels in keeping with the provision of the constitution. · Prepare and submit to the national executive council on behalf of the secretary reports on all programmes of activities of the association including policy proposals. · Consult with the national president and other national officers regularly on matters of interest affecting the entire town and the association · Faithfully carry out the decision of the national delegates conference and executive council · Conduct all business and policies of the association, supervise and direct all paid officers and staff of the council in accordance with the provisions of the constitution and the conditions of service of the association. · Compile or cause to be compiled, an up-to-date nominating roll of all members of the association showing relevant details on receipt of nominal rolls from all branch unions/chapters. ASSISTANT ADMINISTRATIVE SECRETARY (a) The assistant admin secretary assigned to national secretary, shall assist the admin secretary in execution of the day-to-day functions of the association. (b) Duties of the admin secretary and other staff not withstanding the purpose of which any of the above –mentioned officers may be employed, they will perform such duties as may be directed by the leadership of the association. They will be responsible to the admin, head of the association at all times. STAFF EMOLUMENT (a) Staff emolument shall be as contained in the conditions of service of the association and as may be reviewed from time to time by NEC (b) All staff of the association shall draw their emolument from the National Headquarters of the association. ARTICLE IX FINANCE: The association shall generated revenue through the following means a: MONTHLY SUBSCRIPTIONS Every member is expected to make a monthly subscription of an amount to be determined by the National Delegates Conference to his / her branch union. The branch union retains 2 / 3 of the subscription and forward 1/3 to the National headquarters. b: ANNUAL SPECIAL LEVY This shall be imposed by the NEC to be rectified by the National Delegates Conference for specific projects. MANDATE ON ASSOCIATION’S ACCOUNT Without prejudice to or the provisions of Art5A(d) and Art 5A (E) (d), notwithstanding the National President and any of the stipulated signatories shall have power to withdraw money from the account as may be approved. ARTICLE X Miscellaneous 1. No member or members of the Council shall be entitled to take part in any discussion or vote on any matter, in which he / she is personally affected. 2. Resolutions and decisions of the Council shall be binding on all officers, members and all organs of the association. 3. A National secretary shall be appointed by the National Delegates Conference pending the employment of administrative secretary. INTERPRETATION Whenever it shall become necessary to interpret any provision of this constitution , it shall be the duty of the Board of trustees to do so.
