To: Our Lieben Park Community: As many of you are attentive, we the Board of Directors of Lieben Park have established a Board email account and a Facebook Page for our Community. The email is a way to attain all Board Directors at once to send or receive notices to the community as a whole. This email gets directed to all Five Board members so that the community would like to directly address the Board. Our apologies for the delay, we have been trying to set up all information necessary for everyone to appropriately be aware of what your New Board Members are establishing. To Initiate The HOA Board members had their first meeting on February 21, 2014 to address some issues. Members Present PRESIDENT: Todd Phillips VICE PRESIDENT: Pat Lloyd SECRETARY: Charles Dean TREASURER: Brian Wilson DIRECTOR: Patricia Sy Our agenda was as follows: • Treasurer’s Report (Financial Budget spreadsheet debate, general expenses, and evaluating all contracts) • Management Report (information Provided by the management company to have the new board address issues and concerns) • Beazer/Ponds issue • HOA Board Members Position, Leadership, roles and duties • Lieben Park social media (communication establishing a Gmail account, Facebook Page, social media, etc) • Addressing Fence approvals (clarification of approvals prior to the turn-over from prior HOA members, acquaint with a process for inspection of approved built fences) • Violations (letters and fees, addressing a violation system to establish the guidelines in proceeding with all violations, overnight parking, understanding a way to communicate with the board prior to any violations) • Conflict of interest (Boards decision and POA information would come directly from the Board to the community) • DRC Application (Nutt-1223 fence & shed application) To clarify Lieben Park HOA board Members Positions is as follows: President of a POA shall preside at all meeting of the Board of Directors; shall see that the orders and resolution of the board are carried out; shall sign, execute all contracts, orders, all leases, deeds and other documents in the name of the association as its agent; shall co-sign all check and promissory notes with the management company if necessary. The president also assumes general charge of the day-to-day administration of the association and has the authority to order specific action in furtherance of the boards Policies. The president is elected by the membership to serve the community and elected by the board to lead the board. The president will ensure that every board member has a voice at the table. Parliamentary procedure, when followed, can aid the president in successfully presiding over a meeting where important matters are introduce, discussed and decided upon. Vice-President is vested with all the powers which are required to perform the duties of the association president in the absence of the president. The vice president does not automatically possess inherent powers to act in the capacity of the chief executive officer, and may act for the president only when the president is actually absent or otherwise unable to act. The vice-president may assume such additional duties as are defined by the board of directors. The vice president will lead the ARB and shall operate as the reviewer of the completion of approved applications per guidelines 4.3 Secretary will be responsible to insure that the quorum criteria has been met and obtaining someone as a recorder of the minutes. As the representative for the minutes and other official records of the association, the secretary is responsible for insuring access to those records by the members of the association and their authorized representatives. The Secretary has the job of sending meeting notices to homeowners and ensuring that they are sent in an advance, to comply with state laws and the community’s governing documents, along with the Board of Directors Treasurer is the custodian of the funds, securities and financial records of the association. When the association has a manager or management company that actually handles the funds on a daily basis, the treasurers duties will include overseeing the appropriate people to insure that the financial records and reports are properly kept and maintained. Unless the by-laws otherwise specify, the treasurer is responsible for coordinating the development of the proposed annual budget and for preparing and giving the annual financial report on the financial status of the association. The treasurer does not have the authority to bind the association or the board of directors in dealings with third parties unless the board has provided express authority for the treasurer to do so. The treasurer will be responsible for insuring that the financial records of the association have been maintained properly in accordance with sound accounting practices. Director is the executive of the community relations. The director deals with the communication and public affairs for the community. The director is the interface between the community concerns and the board’s schedule The director prepare the board meeting agenda, Calls for Board meetings. Prepares the notices of the meeting and agenda and post it on the property media, so that owners are informed. The director also performs duties as required. The Board members serves at the will of the board of directors and can be removed with or without cause at any time by a majority of the board. The board will operate to benefit our association by understanding the specific area of responsibility. Treasurer’s notes: The budget reformation is still in progress. As everyone has noticed, the annual HOA fee rose from $300 to $372. This increase, given the current expenditures, only leaves us with a $22 surplus at the end of the year. With that said, we have already decided to drop the $300 mailbox kiosk lighting contract, drop the $900 for an external audit, and drop the $500 funding for community social events (understanding that all future events will just be owner sponsored). I had hoped to have a completed budget spreadsheet to email the community, but we still have several items being negotiated. First, we are trying to lower our insurance premiums since the board is no longer occupied by corporate Beazer managers. Second, we have a proposed 3 year contract from Post&Co at an 11% lower rate than we are currently paying. Prior to signing this new contract, we are shopping around community managers that serve other neighborhoods in Mount Pleasant. I have bids being placed by 3 community management companies this week and hope to have the management company question finalized by the end of the week. The existing landscaping contracts are the result of significant searching and negotiating, so the Board intends to maintain those contracts, however, if you discover or develop issues with the landscaping please bring it to the attention of the board. There are no new expenditures or facility upgrades currently planned by the Board, however if you have ideas please forward them to the board. My goal will be to at least hold the HOA fee’s at the current level and hopefully to reduce them slightly. Costs of water, electricity and gasoline will factor into this, and any unforeseen repairs to the kiosk or Whitehall fence could negatively impact the budget.” The Boards meeting minutes to follow. Next HOA (second) meeting will be on March 13, 2014 to discuss • The implementation and date of the violation notices, fines, etc. • Ponds response from Beazer • Finalizing a proposal for the management company contract.
