Section 404 of Sarbanes-Oxley requires firms to file an internal control report annually certifying that the firm has internal controls over financial reporting and that management considers those controls to be effective. Additionally, the firm’s independent auditor must also certify to the correctness of management’s assessment of the controls. The auditor must be registered with the Public Company Accounting Oversight Board (PCAOB).
