Although the means of organizing a corporation may vary to some extent, each state usually requires that articles of incorporation (the charter) be filed with the secretary of state or another designated official within that state. The charter is also referred to as the “Articles of Incorporation” or “Certificate of Incorporation,” and it details the following: • The name of the corporation. In many states, the corporate name must contain the word corpora-tion, incorporated, company, limited, or an abbreviation thereof. A corporate name cannot be the same as, or deceptively similar to, the name of any domestic corporation or any foreign corporation authorized to do business within the state. • The length of the corporation’s life, which is usually perpetual (meaning forever). • Its purpose and the nature of its business.
