Acceptance and availability of the User Terms and Conditions By accepting the terms outlined in this document, you declare: A) That you are of legal age and are authorized to contract (if you are a minor, you must obtain authorization from your parents or legal guardian, holding SOCIAL POINT, S.L. harmless from any responsibility ensuing as a result of the user not complying with this condition. B) That you have read and accept the present User Terms and Conditions. These general terms and conditions regulate the use of the services that the company SOCIAL POINT, S.L. (hereinafter “Social Point”), offers the users of the website socialpoint.es. (Hereinafter, the “Website”). The use of the Services confers the condition of user (hereinafter, “the User”) and implies acceptance of the User Terms and Conditions as published by SOCIAL POINT, S.L. in their most recent version on the Website at the time that the User accesses said Website. This document may be printed and stored by the Users. SOCIAL POINT, S.L. reserves the right to modify the presentation, configuration and content of the Services, as well as the conditions required for their use. By modifying the User Terms and Conditions presented on the Website socialpoint.es, it is understood that said duty to provide notification has been satisfied. SOCIAL POINT, S.L., provides users with the e-mail address [email protected] so that they may ask any questions they may have regarding the User Terms and Conditions. 2. Applicable law and jurisdiction. These general terms and conditions are governed by Spanish Law, with the Spanish courts and tribunals having jurisdiction to hear any matters that may arise with regard to the interpretation, application and compliance with said terms and conditions. By virtue of accepting the general terms and conditions outlined in this legal disclaimer, the user expressly waives any jurisdiction to which he or she may otherwise be entitled by application of the current Spanish Code of Civil Procedure. 3.- Description of the content and the services socialpoint.es is a website having as its basic purpose to inform about and promote the company Social Point. It has 4 main sections. Home Home page. It has a header that rotates with corporate images and images of our games (by clicking on it, the user accesses the Facebook home page or, in the case of already being logged in, the page where the user requests permission to install the game in question). Below the header, on the right-hand side, there are two links to the Social Point corporate profiles on the social networks (Twitter, Facebook, Linkedin). Below the header, on the left-hand side, there are different entries to the Social Point blog where the user has access to the latest news related to the company. Below these two sections, there are the most relevant positions that the company needs to fill and it redirects the user to the Jobs section. Games. On the main page of this section, there are images of each one of our games which redirect to a second page where an explanation about how the game works and various links both to the Facebook fans page as well as to the game itself are provided. Jobs: This page informs about the positions available at the company (with a brief explanation of the job requirements) and provides a form which allows candidates to send their CV. There is also a photo gallery of our offices. About: This provides a brief description about what Social Point is, what it does and its contact information and location. Press: In this section, there are links to the news which appeared on the press related to Social Point and it provides the contact information for our public relations department. Blog: Section for commenting on the latest news related to the company (launches, news, etc.). Community: Section where users can access forums about the games, the support service, or download images of these onto their computer. 4. Services and payment contents about our applications on third-party websites: Some services and content of the applications developed by SOCIAL POINT, S.L. on the websites managed by our partners (Facebook, for example) require payment. To that end, the billing, account maintenance, customer service and other support functions shall be carried out by our partner’s billing service provider and not by SOCIAL POINT, S.L.. In this manner, when you contract these services or content, you must accept the contracting terms and conditions proposed by the billing service provider, including its pricing policy and payment system (in the case of Facebook, you can view them at the link facebook/payments_terms/, as well as their privacy policy – which you already accept when you register on this social network -, and these will be added to the user terms and conditions. You will be able to identify the invoice service provider in the process of purchasing services or content, albeit SOCIAL POINT, S.L. reserves the right to change suppliers in the future. In any case, as explained in point 1 of the present User Terms and Conditions, the capacity for purchasing these services and content is limited to persons of legal age or to persons over the age of 14 years old who have authorization from their parents or legal guardian. 5. User responsibility Good use of the service: The USER is obligated to make good use of the service, and therefore, not use it in bad faith for any practice that is prohibited by law or incompatible with commercial uses. SOCIAL POINT, S.L., has the power, by means of these User Terms and Conditions, as soon as it has reliable knowledge that the USER has committed any act or is making any illegal use in general, to inform the relevant authorities of these circumstances and to unregister the USER or restrict his or her access from the SOCIAL POINT, S.L. website. The USER shall be the only one responsible for any claim or legal action, whether in court or out of court, initiated by third parties who have been damaged directly by the USER before the courts or other bodies and, in such a case, the USER shall assume all of the expenses, costs and indemnifications that SOCIAL POINT, S.L. may assume if the claim is made against it. In addition, SOCIAL POINT, S.L. shall collaborate and notify the relevant authority of these incidents as soon as it has reliable knowledge that the damage caused constitutes any type of illegal activity, especially as it regards content introduced by the USER that may infringe on the rights and legitimate interests of SOCIAL POINT, S.L. or of third parties. Due diligence: The USER shall be responsible for taking all of the actions required of it with due diligence. In particular, the USER must exercise diligence as it refers to the updating and accuracy of its personal data, in particular the email indicated in the purchase as the primary means of contact with SOCIAL POINT, S.L. 6. Use of the service and liabilities SOCIAL POINT, S.L. shall not be held liable for the content of the links to other Web pages of third parties and, therefore, over which it has no control. Errors in the connections, unforeseeable circumstances and force majeure: SOCIAL POINT, S.L., shall not be liable for the errors, delays in access, delays in the system or any anomaly that may arise in regards to problems of a general nature on the Internet, causes of an unforeseeable nature or force majeure, or any other contingency that is completely unpredictable and, thus, has nothing to do with the good faith of the company. SOCIAL POINT, S.L., undertakes to try to resolve these incidences by employing all means available and offering all of the support necessary to the USER to try to solve the incidents in the fastest and most satisfactory manner possible. In addition, SOCIAL POINT, S.L. shall not be responsible for the failures that may occur as a result of these incidents in the communications, elimination or incomplete transmissions, such that it does not guarantee that the website is always operative when it is due to issues attributable to SOCIAL POINT, S.L. which said company cannot resolve with the means at its disposal. Use of the website: SOCIAL POINT, S.L. shall not, in any case, be responsible for the errors or damages caused by the improper and malicious use of the service by the User. Responsibility for losses and damages The User shall be held responsible for not meeting any of its obligations to which it is bound by virtue of these User Terms and Conditions or the law in regards to using the Services. SOCIAL POINT, S.L. does not guarantee the availability and continued functioning of the Services. When it is reasonably possible, SOCIAL POINT, S.L. shall provide advanced notice of any interruptions in the provision of the Services. SOCIAL POINT, S.L. does not assume any responsibility for any types of losses and damages that may result due to the lack of availability or continuity of the provision of the Services, or due to a suspension of the service. SOCIAL POINT, S.L. is not obligated to control how the Users use the Services. In particular, SOCIAL POINT, S.L. does not guarantee that the Users will use the Services in accordance with these User Terms and Conditions, nor that they will use the Services in a diligent manner. SOCIAL POINT, S.L. is neither obligated to verify the identity of the Users nor the accuracy, currentness, thoroughness and/or authenticity of the data that the Users provide about themselves to other Users. In any case, SOCIAL POINT, S.L. stores the data and information that the current laws require. SOCIAL POINT, S.L. reserves the right to refuse use of the Services and to withhold the information, data and content published, at any time and without prior warning to those Users who do not fulfill these User Terms and Conditions. 8. Privacy and personal data protection By providing an email address or other personal data, which is a requirement that is necessary in order to access certain services, the users give their permission so that these addresses may be handled and also used to send business communications to promote and advertise the services and products offered by SOCIAL POINT, S.L. SOCIAL POINT, S.L. offers users the following email address [email protected], so that they may withdraw the consent that they have given, in addition to exercising the right to access, rectify, cancel or object to the data, as guaranteed under current laws. By purchasing a product or contracting a service, SOCIAL POINT, S.L. does not confer the buyer any right to alter, use, copy, distribute or openly communicate about said product or service, and all of the rights are reserved by SOCIAL POINT, S.L. Tiene una cabecera que va rotando con imágenes corporativas e imágenes de nuestros juegos (pulsando sobre ella se accede a la página de inicio de Facebook o, en caso de haber iniciado previamente la sesión, a la página en la que se solicita el permiso de instalación del juego en cuestión). Debajo de dicha cabecera, en el lado derecho, se encuentran los enlaces a las páginas corporativas de Social Point en redes sociales (Twitter, Facebook, Linkedin). Debajo de la cabecera, a la izquierda, se encuentran las diferentes entradas al blog de Social Point en el que se informa de las últimas novedades relativas a la empresa. Debajo de estos dos apartados aparecen destacadas las posiciones más relevantes que la empresa necesita cubrir y que redirigen al apartado de Jobs. Games En la página principal de esta sección, aparecen imágenes de cada uno de nuestros juegos que redirigen a una segunda página en que se da una explicación del funcionamiento del juego y diversos links tanto a su página de fans de Facebook como al propio juego. Jobs: En esta página se informa de las posiciones que la empresa necesita cubrir (con una breve explicación de los requisitos) y se provee formulario mediante el cual los candidatos pueden enviar su CV. También hay una galería de imágenes de nuestras oficinas. About: Se da una breve explicación de qué es Social Point, a qué se dedica y sus datos de contacto y localización. Press: En esta sección aparecen los links a aquellas noticias aparecidas en prensa relativas a Social Point y se facilita el contacto de nuestro departamento de relaciones públicas. Blog: Apartado en el que se comentan las últimas noticias relativas a la empresa (lanzamientos, novedades, etc.). Community: Apartado a través del cual los usuarios pueden acceder a los foros de los juegos, al servicio de soporte, o descargarse imágenes de los mismos para su ordenador. 4.- Servicios y contenidos de pago de nuestras aplicaciones en páginas de terceros: Algunos servicios y contenidos de las aplicaciones desarrolladas por SOCIAL POINT, S.L., en las páginas web gestionadas por nuestros socios (Facebook, p.ej.) son de pago. En este sentido, la facturación, mantenimiento de la cuenta, servicio de atención al cliente y de más funciones de soporte serán llevadas a cabo por el proveedor de servicios de facturación de nuestro socio y no por SOCIAL POINT, S.L. SOCIAL POINT, S.L., queda facultada por medio de los presentes Términos y Condiciones de Uso, a partir del momento en que tenga conocimiento fehaciente de la realización por parte del USUARIO de cualquier actuación o uso ilegal en general, a poner en conocimiento de las autoridades competentes estas circunstancias y dar de baja al USUARIO o restringirle el acceso al sitio web de SOCIAL POINT, S.L. El USUARIO será el único responsable frente a cualquier reclamación o acción legal, judicial o extrajudicial iniciada por terceros perjudicados directamente por el USUARIO ante Juzgados u otros organismos, asumiendo éste todos los gastos, costes e indemnizaciones que, en su caso, pueda asumir SOCIAL POINT, S.L., si la reclamación es dirigida contra ésta. Diligencia debida: El USUARIO se responsabiliza de realizar todas las actuaciones que le sean requeridas con la diligencia debida. Con carácter especial, el USUARIO debe ser diligente en lo que se refiere a la actualización y veracidad de sus datos personales, fundamentalmente del correo electrónico señalado en la compra como vía principal de contacto con SOCIAL POINT, S.L. 6.- Uso del servicio y responsabilidades SOCIAL POINT, S.L., no se hace responsable del contenido de los enlaces a otras páginas Web que no sean titularidad suya y que, por tanto, no pueden ser controladas por ésta. Errores en las conexiones, caso fortuito y fuerza mayor: SOCIAL POINT, S.L., no será responsable de los errores, retrasos en el acceso, retrasos en el sistema o cualquier anomalía que pueda surgir en relación con problemas de carácter general en la red Internet, causas de caso fortuito o fuerza mayor o cualquier otra contingencia totalmente imprevisible y por tanto ajena a la buena fe de la empresa. Asimismo SOCIAL POINT, S.L., no será responsable de los fallos que por estas causas se puedan producir en las comunicaciones, borrado o transiciones incompletas, de manera que no garantiza que el sitio web esté en todo momento operativo cuando se deba a cuestiones no imputables a SOCIAL POINT, S.L., que ésta no pueda resolver con los medios que están a su alcance. SOCIAL POINT, S.L., no garantiza la disponibilidad y continuidad del funcionamiento de los Servicios. Cuando sea razonablemente posible, SOCIAL POINT, S.L., advertirá previamente de las interrupciones en el funcionamiento de los Servicios. SOCIAL POINT, S.L., no asume responsabilidad alguna por los daños y perjuicios de cualquier naturaleza que puedan derivarse de la falta de disponibilidad o de continuidad del funcionamiento de los Servicios, y a las suspensiones del servicio. SOCIAL POINT, S.L., no tiene obligación de controlar la utilización que los Usuarios hacen de los Servicios. En particular, SOCIAL POINT, S.L., no garantiza que los Usuarios utilicen los Servicios de conformidad con estos Términos y Condiciones de Uso ni que lo hagan de forma diligente. SOCIAL POINT, S.L., tampoco tiene la obligación de verificar la identidad de los Usuarios ni la veracidad, vigencia, exhaustividad y/o autenticidad de los datos que los Usuarios proporcionan sobre sí mismos a otros Usuarios. En cualquier caso, SOCIAL POINT, S.L., conserva los datos e información que la legislación en vigor le exige. SOCIAL POINT, S.L., se reserva el derecho a denegar la utilización de los Servicios y a retirar las informaciones, datos y contenidos difundidos, en cualquier momento y sin necesidad de previo aviso a aquellos Usuarios que incumplan estos Términos y Condiciones de Uso. 8.- Privacidad y protección de datos personales. Mediante la entrega de la dirección de correo electrónico u otros datos personales, requisito necesario para el acceso a determinados servicios, los usuarios dan su permiso para que dichas direcciones sean tratadas y además, utilizadas para enviar comunicaciones comerciales de promoción o publicidad de los servicios y productos ofrecidos por SOCIAL POINT, S.L. Así como el ejercicio de los derechos de acceso, rectificación, cancelación y oposición garantizados por la legislación vigente. SOCIAL POINT, S.L., declara que cumple la normativa vigente respecto a la protección de datos, en particular la Ley Orgánica 15/1999, de 13 de diciembre, de Protección de Datos de Carácter Personal y el Real Decreto 1720/2007, de 21 de Diciembre, que desarrolla la citada ley orgánica. 9.- Propiedad Industrial e Intelectual Los contenidos suministrados por SOCIAL POINT, S.L., están sujetos a los derechos de propiedad intelectual e industrial y son titularidad exclusiva de SOCIAL POINT, S.L., o de las personas físicas o jurídicas que se informe. Mediante la adquisición de un producto o servicio, SOCIAL POINT, S.L., no confiere al adquirente ningún derecho de alteración, explotación, reproducción, distribución o comunicación pública sobre el mismo, reservándose SOCIAL POINT, S.L., todos estos derechos. La cesión de los citados derechos precisará el previo consentimiento por escrito por parte del titular de los mismos, de manera que el cliente no podrá poner a disposición de terceras personas dichos contenidos. La propiedad intelectual se extiende, además del contenido incluido en SOCIAL POINT, S.L., a sus gráficos, logotipos, diseños, imágenes y códigos fuente utilizado para su programación.
