MEMORANDUM OF AGREEMENT KNOW ALL MEN BY THESE PRESENT: This Memorandum of Agreement, made and executed by and between: ABSORB AQUATECH, represented by RICARDO L. ABRIA, married, of legal age, Filipino and resident of Brgy. Bante, Tinambacan Dist., Calbayog City, herein referred to as the FIRST PARTY. -and- _____________________________________________________________________, herein represented by _______________________________________________________________ ______________________________________________________________________________and hereinafter referred to as the SECOND PARTY; WITNESSETH That the FIRST PARTY is the owner of the complete WATER/REFILLING STATION EQUIPMENT PACKAGE and offered for sale to the SECOND PARTY, who agreed to buy the same, subject to the following terms and conditions to wit; 1.) That the total package price of said complete EQUIPMENT PACKAGE is (P 280,000.00) TWO HUNDRED EIGHTY THOUSAND PESOS ONLY. Payable in the following: (SEE ATTACHED): a. The SECOND PARTY shall pay P90,000.00 as down payment reservation/confirmation upon executing of this agreement. b. That the balance/complete down payment (P100,000.00) will be given 7 days (1 week) before the delivery of the complete package by the second party. And P100,000.00 after installation/completion of the said complete package. 2.) That the FIRST PARTY shall undertake FREE INTALLATION of complete package as indicated in the program of works and material/equipment specification hereto attached. 3.) That the FIRST PARTY gives one (1) year FREE SERVICE WARRANTY and equipment and moving parts warranty. 4.) Delivery charge for out of town (outside Metro Manila areas), by the second party. NOW, THEREFORE, for and inconsideration of the foregoing premises, the herein bind themselves to comply strictly with the terms and conditions set forth in this AGREEMENT.
