Since fiscal 2008, Dell has spent $13 billion on acquisitions to re-position the business with a new focus on software and services to offset the declining demand for personal computers. Instead of paying shareholder dividends, Dell officials said they used the capital for acquisitions. It’s possible that Dell shareholders are reluctant to turn over a company largely refashioned with their money for someone else to benefit. The vote is scheduled for Aug. 2 — bananas not included.
