LLICSA INTERIM GOVERNING FRAMEWORK (Draft) LLI & LLICSA Combined Advisory, Oct. 12, 2014 Freddie Tividad Tesalona, Executive Director New York City Mrs. Babylyn Bautista-Felix has requested that she be replaced as president of the LLI College Scholars Association. The election of the new set of officers scheduled last month did not materialize primarily because of poor attendance by the alumni. Although very able, successful and dedicated, Belen is burdened by her demanding work as a PLM college instructor, writer & author, and entrepreneur. She has been serving as president for over four years. A big constraint to holding the LLICSA election is lack of a quorum due mainly to the persistent absence of many alumni members. In realistic terms, this problem does not look reversible short term. We need to accommodate the wishes of Belen. Additionally, there is a pressing need to keep LLICSA moving and achieving. Along those lines, I have prepared and drafted the LLICSA INTERIM GOVERNING FRAMEWORK. I am particularly requesting all LLI college scholars – alumni and undergraduates, including the members of the LLI General Council – to review and comment on the proposed document. In the event that there is no substantial and material objection to the Framework that is communicated to the Executive Director as of October 20, 2014, this Framework will be released officially thereafter. Before its official release, it will undergo appropriate revisions as needed based on the comments and suggestions of the scholars and the GC members. The Framework follows: LLICSA INTERIM GOVERNING FRAMEWORK (Draft; not official yet) Issued: October 12, 2014 ● Article One - DECLARATION OF PRINCIPLES It is the organic and long-standing objectives of the LLI College Scholars Association (LLICSA) to: 1) Engage in programs and projects that promote the vision & mission of Lubang-Looc International (LLI) - a civic, educational, humanitarian and non-partisan organization; 2) Advance the personal, academic and professional growth of the members of LLICSA, both alumni and undergraduates; 3) Constitute LLICSA as a promoter of the interest and welfare of its members and of the community it serves; and 4) Manage LLICSA as a professional, dynamic and results-oriented organization. ● Article Two - LLICSA INTERIM GOVERNING FRAMEWORK Section 1. In pursuit of the Declaration of Principles, the members of LLICSA adopt this LLICSA INTERIM GOVERNING FRAMEWORK (hereinafter referred to as “Framework”). Secton 2. This Framework takes effect upon its official issuance by the LLI Executive Director, and it remains in effect until the approval and adoption of the LLICSA constitution & by-laws. Section 3. The Executive Committee enjoys policy-making authority relative to administering and managing LLICSA consistent with this Framework. Section 4. The LLI Executive Director is authorized to appoint the interim members of the Executive Committee. Section 5. Once the Executive Committee is constituted under this Framework, the Executive Committee is responsible for the election of the members and the appointment or replacements of its members. Section 6. The Executive Committee shall prepare an annual activity plan that include, but not limited, to the following: 1) Seminar or workshop on the personal growth of the members; 2) Annual summer camp & tutorials in math, science, and leadership; 3) Planning of, and participation in, the annual Pamaskong Handog; 4) Orientation and induction of new scholars; 5) Recognition program for outstanding scholars and for the outstanding service and accomplishment of a community member; 6) LLICSA scholarship program; 7) Development or fund raisers; 8) Financial management; and 9) LLICSA community service. Section 7. The Executive Committee shall hold a bi-monthly committee meeting. It may hold special meetings as needed. The chair of the Executive Committee calls and presides over all the meetings. Section 8. The Executive Committee shall call a general meeting or assembly once a year and invite all LLICSA members to attend. Section 9. The Executive Committee is responsible for developing and adopting other rules and regulations for the proper, efficient and effective operation and management of LLICSA. Article Three – Officers of LLICSA and members of the Executive Committee Section 10. Under this Framework, the LLI Executive Director is authorized to appoint the following interim officers of LLICSA: 1) President of LLICSA and chair of the Executive Committee; 2) Vice chairs of the Executive Committee; 3) Other members of the Executive Committee; and 4) Members of the Secretariat of the Executive Committee. Section 11. The mode of appointment under this Framework is intended to re-invigorate LLICSA, to jumpstart putting in place its officers, and to re-position LLICSA as a successful organization on a sustained basis.
