A brief Job Profile description mentioned below. *CORPORATE SECRETARIAL ACTIVITIES FOR GROUP* *Drafting Areas:* · Assisting/Drafting of resolutions, notices, minutes, Directors- Report, Annual Reports. · Assisting/Drafting of Petitions & Applications to Company Law Board & Reply to show cause notices. · Assisting/Drafting of Compounding Applications to Company Law Board · Assisting/Drafting of various documentations for specific approvals like Name change, Object change, shifting of Registered Office from one state to another etc., · Assisting/Drafting and filing of Application for Trademarks · Conducting Board Meetings and Committee Meetings *Compliance related Filings and Document Preparation* · Incorporation of Companies · Obtaining DIN & Digital Signature Certificate. · Transfer & Transmission of Shares. · Compounding of offences under the Companies Act, 1956/2013. · Filing Forms & Returns under the Companies Act, 1956/2013. · Mapping of Financials and filing the same in XBRL mode. · Preparation of Statutory Registers and Minutes Books under the Companies Act, 1956/2013. · Preparation of Search Report of companies from the records of the Registrar of Companies. · FEMA related matters and Filing of various Forms/ Returns with RBI · Document preparation for Mergers and Amalgamations. *LEGAL ACTIVITIES* · Assisting/Drafting of legal notice for cheque bounce cases and demand notice for account receivable. · Assisting/Drafting of Exclusive Distribution agreements, Dealer agreements, shareholders agreements, Investment agreements etc. · Assistance to external counsel in filing both civil and criminal cases including cases pertaining to improper termination of distribution agreements. *COMPLIANCE & REGULATORY ACTIVITIES* · Assisting/Drafting SOP for streamling the cases pertaining to cheque bounce · Assisting /Drafting a checklist streamling the appointment of Dealers · Assisting /Drafting a Compliance checklist for Finance, Legal, Business Unit and Logistics that would be submitted to the board on a quarterly basis. · Assisting external agencies in obtaining licenses including VAT, CST, IEC, IEM, AERB and Drug License. *FINANCIAL ACTIVITIES* · Coordinating with Finance team on bank funding process · Coordinating with Insurance Brokers on finalising the group insurance policy like fire, marine, D&O Please share your resume to unnikrishnanps.cs@gmail Regards, Unnikrishnan P S
