This being done through what the call an Inversion type of acquisition You might be interested to see how the New Yorker is spinning this as not your typical tax avoidance leave the country type of move. By explaining how the effective tax rate will be the same in Canada vs the US. (Are they doing this to protect Warren Buffets support of this deal? Or just to defend high tax rates in general? They leave out one really big, big consideration and that is the repatriation of profits from the 40% overseas franchises of BK. Like many big companies they probably have big bank accounts with lots of cash overseas. Now that they are a Canadian company BK/Tim Hortons will have much more flexibility.
